Terms of Service

Introduction

These Terms of Service ("Terms") govern your access to and use of the AIWA platform available at aiwa.codes ("Platform"), including all features, services, tools, and applications offered through it ("Services").

By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Platform. If you are using AIWA on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.

Please read these Terms carefully. They include important information about your rights and obligations, limitations on our liability, and how disputes are resolved.

1. Eligibility

You must be at least 18 years of age to use AIWA. By using our Platform, you represent and warrant that:

  • You are at least 18 years old
  • You have the legal capacity to enter into a binding agreement
  • You are not prohibited from using our Services under any applicable law
  • If using on behalf of an organisation, you have the authority to bind that organisation to these Terms

2. Account Registration

2.1 Creating an Account

To access most features of AIWA, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Keep your account information updated and accurate
  • Maintain the confidentiality of your login credentials
  • Notify us immediately of any unauthorised access to your account at [email protected]

2.2 Account Responsibility

You are responsible for all activity that occurs under your account, whether or not you authorised it. AIWA is not liable for any loss or damage arising from unauthorised access to your account where you have failed to keep your credentials secure.

2.3 One Account Per User

Each user may maintain only one free account. Creating multiple accounts to circumvent usage limits, obtain additional free credits, or evade a suspension is a violation of these Terms and may result in termination of all associated accounts.

3. Services and Credits

3.1 Platform Services

AIWA provides an AI-powered application building platform that allows users to generate, build, test, deploy, and manage software applications through natural language prompts and AI-assisted tools.

3.2 Credit System

Access to AIWA's generation features is governed by a credit system:

  • Free accounts receive a limited number of credits each month as described on our pricing page
  • Paid plans include a credit allocation as described on our pricing page
  • Credits can be topped up through credit bundle purchases
  • Credits are non-transferable between accounts
  • Unused credits from a monthly allocation do not roll over to the following month unless otherwise stated in your plan
  • Purchased credit top-ups do not expire for the duration of your active account

3.3 Service Availability

We aim to maintain high availability of our Platform but do not guarantee uninterrupted access. We may perform scheduled maintenance, updates, or emergency fixes that temporarily affect availability. We will endeavour to notify users of planned downtime in advance.

3.4 AI Generation

AIWA uses multiple AI models to generate application code and content. The quality, accuracy, and completeness of AI-generated output cannot be guaranteed. You are responsible for reviewing all generated output before deploying it to production or sharing it with end users.

4. Intellectual Property

4.1 Your Content and Output

  • You retain ownership of all content, prompts, and descriptions you input into AIWA.
  • You own the applications, code, and output generated by AIWA based on your prompts, subject to the terms of the underlying AI model providers.
  • You are responsible for ensuring that your use of generated output does not infringe the intellectual property rights of any third party.
  • AIWA grants you a perpetual, royalty-free licence to use, modify, distribute, and commercialise any code or application generated through your use of our Services.

4.2 AIWA's Intellectual Property

  • The AIWA Platform, including its design, software, interfaces, systems, AI agents, and all associated technology, is owned by AIWA and protected by intellectual property laws.
  • These Terms do not grant you any right to use AIWA's name, logo, trademarks, or branding without prior written permission.
  • You may not copy, modify, distribute, sell, or lease any part of our Platform or its underlying technology.

4.3 Feedback

If you provide feedback, suggestions, or ideas about our Platform, you grant AIWA a non-exclusive, royalty-free, perpetual licence to use that feedback for any purpose without compensation to you.

5. Acceptable Use

Your use of AIWA is subject to our Acceptable Use Policy. By using our Platform, you agree to comply with that policy in full.

In summary, you agree not to use AIWA to:

  • Build applications that violate any applicable law or regulation
  • Generate, distribute, or deploy malicious code, malware, or harmful software
  • Create content that is illegal, harmful, abusive, defamatory, or infringes on third-party rights
  • Circumvent, disable, or interfere with security features of our Platform
  • Scrape, crawl, or extract data from our Platform without authorisation
  • Use our Services in a way that imposes an unreasonable load on our infrastructure
  • Resell or sublicence access to AIWA without our written permission

Violation of our Acceptable Use Policy may result in suspension or termination of your account.

6. Payments, Subscriptions, and Billing

6.1 Pricing

Current pricing for AIWA plans and credit bundles is available on our pricing page. We reserve the right to change our pricing at any time. For existing subscribers, price changes will take effect at the next billing cycle with at least 14 days notice.

6.2 Payment Processing

All payments are processed securely by Stripe. By providing payment information, you authorise AIWA to charge your payment method for the applicable fees. You represent that you are authorised to use the payment method provided.

6.3 Subscription Billing

  • Monthly subscriptions are billed on the same date each month
  • Annual subscriptions are billed once per year
  • Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
  • You can cancel your subscription at any time through your account settings

6.4 Failed Payments

If a payment fails, we will attempt to retry the charge. If payment cannot be collected after reasonable attempts, your account may be downgraded to the free tier and access to paid features may be suspended until payment is resolved.

6.5 Taxes

Prices displayed on our Platform may be exclusive of applicable taxes. You are responsible for paying any taxes, duties, or levies applicable to your purchase in your jurisdiction.

7. Refunds and Cancellations

7.1 SaaS Subscriptions

We offer a 7-day refund on SaaS subscription payments under the following conditions:

  • The refund request is made within 7 days of the initial payment date
  • You have not used any credits during the billing period
  • Refund requests must be submitted to [email protected] with your account email and reason for the request

If you have used any credits during the billing period, no refund will be issued for that period. Cancelling your subscription prevents future charges but does not entitle you to a refund for the current billing period.

7.2 AppSumo Lifetime Deal

AppSumo lifetime deal purchases are subject to AppSumo's refund window, which is 60 days from the date of purchase. Within that window:

  • If you have not used any credits, you are entitled to a full refund
  • If you have used credits, a pro-rated refund will be calculated based on the value of credits consumed relative to the total purchase price
  • Refund requests must be initiated through AppSumo's standard refund process

7.3 Credit Top-Ups

Purchased credit bundles are non-refundable once credits have been consumed. If you have purchased a credit bundle and have not used any credits, you may request a refund within 7 days of purchase by contacting [email protected].

7.4 Exceptions

We reserve the right to decline refund requests where we have evidence of abuse of our Services, violation of our Acceptable Use Policy, or where refund requests are made in bad faith.

8. Team Seats and Agency Features

8.1 Team Seats

Agency plan subscribers may invite team members and clients to collaborate on projects. You are responsible for:

  • Ensuring all team members comply with these Terms and our Acceptable Use Policy
  • Managing access and permissions for your team
  • Any activity conducted by team members under your account

8.2 Client Handoff

The client handoff feature allows you to transfer ownership of a project to a client. Once a project is transferred, the recipient assumes full responsibility for that project and its continued use in accordance with these Terms.

9. Termination and Suspension

9.1 Termination by You

You may delete your account at any time through your account settings. Upon deletion, your access to the Platform will cease and your data will be handled in accordance with our Privacy Policy.

9.2 Termination or Suspension by AIWA

We reserve the right to suspend or terminate your account at any time, with or without notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • We are required to do so by law
  • Your account has been inactive for an extended period
  • We reasonably believe your account poses a security risk

In cases of serious violation, we may terminate your account immediately without warning. In less severe cases, we will attempt to notify you and give you an opportunity to remedy the situation before taking action.

9.3 Effect of Termination

Upon termination of your account:

  • Your access to the Platform will cease immediately
  • Any active subscriptions will be cancelled
  • Unused credits will be forfeited and are not refundable
  • Your data will be handled in accordance with our Privacy Policy retention schedule

10. Disclaimers and Limitation of Liability

10.1 Platform Provided As Is

AIWA IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 AI-Generated Output

We do not warrant that:

  • AI-generated code or applications will be error-free, secure, or fit for any particular purpose
  • Generated applications will function correctly in all environments or browsers
  • Output will not infringe third-party intellectual property rights

You are solely responsible for reviewing, testing, and validating all AI-generated output before deploying it in any production environment or making it available to end users.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AIWA AND ITS TEAM SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
  • DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE OUR PLATFORM
  • DAMAGES ARISING FROM AI-GENERATED OUTPUT DEPLOYED BY YOU

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AIWA IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

10.4 Indemnification

You agree to indemnify, defend, and hold harmless AIWA and its team from and against any claims, liabilities, damages, losses, and expenses arising from:

  • Your use of the Platform
  • Applications you build, deploy, or distribute using AIWA
  • Your violation of these Terms or any applicable law
  • Any content you input into AIWA or publish through our Platform

11. Third-Party Services and Integrations

AIWA integrates with and may link to third-party services including Stripe, AI model providers, and other tools. These third-party services have their own terms and privacy policies. AIWA is not responsible for the practices, content, or reliability of any third-party services. Your use of third-party services is at your own risk.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Post the updated Terms on our Platform with a new "Last updated" date
  • Notify you by email at least 14 days before the changes take effect for material changes

Your continued use of AIWA after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using our Platform before the effective date.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of AIWA will be resolved as follows:

Informal resolution first: Before initiating any formal proceeding, you agree to contact us at [email protected] and give us 30 days to attempt to resolve the dispute informally. Most issues can be resolved quickly this way.

Binding arbitration: If the dispute cannot be resolved informally, it shall be submitted to binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in English. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis only. You waive any right to bring or participate in a class action, collective action, or representative proceeding against AIWA.

Exceptions: Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in the State of Delaware to prevent irreparable harm pending resolution of a dispute. Nothing in this section limits either party's right to seek such relief.

Governing courts: For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, Acceptable Use Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and AIWA regarding your use of our Platform.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
